Client Content & Asset Responsibility
If you hand us a logo, a photo, a font, or a sound clip, you're telling us you have the right to use it. We trust that. If it turns out you didn't, you're responsible, not us. We keep submitted assets for 90 days after delivery, then archive or purge per the project agreement.
01 What you're telling us when you give us material
When you submit any material to CMYK Ink — by upload, email, file transfer, hand-delivery, anything — you represent and warrant that:
- You own the material, or you have a valid license to use and sublicense it for the project.
- Your use, and our use as part of the project, does not infringe anyone else's copyright, trademark, right of publicity, privacy, or other rights.
- The material does not violate any law.
- You've provided us with any necessary credits, model releases, location releases, or permissions.
02 Material this covers
- Logos, marks, and brand assets.
- Photography, video, illustrations, and other imagery.
- Fonts, type files, and licensed type.
- Music, audio, voice recordings.
- Copy, scripts, and written content.
- Trademarks, slogans, and taglines.
- Templates and structured content.
- Datasets and lists.
- AI-generated assets you supplied.
- Anything else you ask us to use, incorporate, or reference.
03 What you indemnify us against
If a third party brings a claim, demand, or lawsuit against CMYK Ink because of material you provided (copyright infringement, trademark dispute, privacy violation, defamation, anything), you agree to defend us, indemnify us, and hold us harmless from that claim. This includes reasonable attorneys' fees and costs.
04 Our right to refuse
We can decline to use material that we reasonably believe infringes someone else's rights, violates the law, is misleading or deceptive, or is offensive in a way that conflicts with our values or those of likely viewers. If we refuse, we tell you why and try to suggest an alternative.
05 Borderline cases
When we see something gray:
- We flag it to you.
- We ask: where did this come from? Do you have rights?
- We trust your answer, but we put it in writing so the trail is clear.
- If the gray feels too dark, we recommend not using it.
06 Asset storage and retention
Material you submit is stored in our project systems while we work on your project, and for 90 days afterward. After that:
- We may keep an archival copy of final delivered materials for portfolio purposes per Policy 10.
- Original uploaded source material is purged within 12 months of project completion unless we agree otherwise in writing.
- You should keep your own copies of any material you might need later.
07 Confidentiality
Material you submit is treated as confidential by default. We don't share it with third parties outside the subcontractors we need to complete the project, and those subcontractors operate under written confidentiality. Some material may be covered by a specific NDA; if so, that NDA controls.
08 AI tools and your material
Per Policy 07, we don't feed client material to AI vendors whose terms allow training on input. If a project requires us to use a specific AI tool on your material, and that tool's training position is unclear or unfavorable, we'll either work around it or ask you first.
09 Mirror in the intake form
These same warranties appear as a checkbox on our project intake form. By checking it, you agree on the record before we begin work.
10 Limitation of our liability
We are not liable for third-party infringement claims arising from material you supplied, your unauthorized use of material after we deliver it, trademark conflicts you didn't disclose, licensing violations outside our control, or material you misuse after the project ends.
